Who owns the properties?

Properties are purchased through a Special Purpose Vehicle (SPV) in the form of a newly formed UK Limited Company set up solely to own the property title of the property registered with UK HM Land Registry. As an investor shareholder, you can own up to a maximum of 40% shares in the SPV. As for the remaining shares, JaeVee holds 60% with 10% from JaeVee's side used as a bonus to the main contractor should they deliver ontime and to budget.

When you invest, the shares you own in the project SPV provide you with shareholders rights protected by a shareholders agreement whereby matters requiring consent are set at 81%. This means JaeVee, with 60%, would need 21% of the investor shareholders to agree with our view. For example, JaeVee wouldn't be able to sell the properties less than the forecasted GDV unless 21% (over half of the investor shareholders) agree to it. Therefore meaning all parties are protected. Lastley, each project has its own SPV which is ringfenced from other projects thus meaning if there's an issue with another project, it doesn't impact your project.
